Environmental Due Diligence and Compliance Review for Healthcare System

Braun Intertec was retained by a confidential healthcare system to advise on and conduct environmental due diligence (Phase I ESAs or modified Area-wide ESAs) and operational environmental compliance reviews on a portfolio of hospitals and healthcare facilities (approximately 60+ locations) located throughout Minnesota and North Dakota. Our experienced due diligence and healthcare compliance team advised on the strategy and scope of the project from initiation, coordinated and completed field work at all of the locations within approximately 4 weeks of authorization, and provided preliminary environmental risk management findings, conclusions and recommendations to the multi-disciplined client team (including external environmental counsel and real estate advisory partners) throughout the completion of all the field work. In addition, our project team provided the client’s key project team leaders with environmental compliance (operations) and liability risk management summaries including financial projections of both compliance corrective actions and potential liabilities related to owning and operating the properties and facilities. 

Challenges and Solutions
The client key leaders and external partners were under extreme time constraints to complete the environmental due diligence and compliance review process. The project included significant internal and external confidentiality measures and constraints which had to be implemented, addressed and acknowledged by all the Braun Intertec project team members and adhered to while working on the project both in the field and in the office.  In addition to these constraints, information on the portfolio of properties (60+ locations) was being obtained, reviewed, verified and revised throughout the initial first few weeks of the project and often, new information was coming in to the Braun Intertec field team at the same time field work was being conducted.

Throughout the initiation of the project, during the fieldwork (which was often scheduled prior to gaining all the information normally needed and required) and during all of the on-going evaluation and analysis of the regulatory and on-site information being obtained the Braun Intertec team consistently kept the client team and their partners informed and updated. All due diligence and compliance review reports and risk management summaries were completed and uploaded to a secure shared website portal to meet the schedule required by the client’s executive team.
